64 bit applications cannot invoke 32 bit Active-X or COM components or 32 bit DLLs. This is a fundamental limitation of the MS Windows architecture (and most other operating systems that support both 32 bit and 64 bit applications.)

64-bit Applications can indeed not invoke 32-bit in-process COM Objects. When working with Spreadsheet Link EX you are working with an out-of-process COM server though; so this limitation does not apply. You should able to use 64-bit SpreadSheet Link EX just fine with 32-bit Excel.
