If you have Windows 7 Professional, you can download the virtual XP mode and install Matlab there. I did not find another solution even after a lot of trials, e.g. the different compatibility modes, disabling modern window styles, running Matlab without Java or with newer Java engines. The problem seems not to be Matlab itself, but the license manager program.

While I am certainly curious what the business need for you is to install 2002 software on a 2011 OS, the error message points to a license problem. It is important that you get in touch with MathWorks installation support, as the reason may be a technical one or a license agreement one and that is difficult to speculate in public.

Dear Andreas!
The reason is probably money - this is the legimate version I got from my employers.
Thanks.
