Hi,
I have created a GUI which does some nice stuff and obviously runs
some m-files. I want to be able to give this collection of files to
someone else to use, but I don't want them to be able to access any of
the code without a password (which only i will have).
How do I do this?

Creating standalone application of program may help u.
why dont u try this.

help pcode

Note that this scrambles an m-file, so it can still be used,
but not edited. You have to keep the m-file, while you
distribute the p-files.

This could be worth trying
1. Write a m - code which bundles a time bound limitation,
found here
http://www.mathworks.com/matlabcentral/fileexchange/loadFil
e.do?objectId=18315&objectType=file
2. Next create a P-code.

3 Distribute only your P-code. Now you will be sure that
he/she will can run your code and that too will be time
bound
